Ambito di applicazione<\/strong><br \/>Le presenti Condizioni Generali di Contratto (CGC) regolano la stipula di contratti, il contenuto e la gestione di accordi relativi alla progettazione e all'installazione di impianti di climatizzazione e ventilazione da parte di Schmid Geb\u00e4udetechnik GmbH e delle sue filiali che utilizzano le presenti CGC. Condizioni diverse sono valide solo se Schmid Geb\u00e4udetechnik GmbH le ha espressamente accettate per iscritto.<\/p><p><strong>2. Offerta<\/strong><br \/>Le offerte scritte sono valide per tre mesi dalla data di emissione. I requisiti aggiuntivi non inclusi nell'offerta o aggiunti solo dopo la conclusione del contratto devono essere concordati separatamente.<\/p><p><strong>3. Ambito dei servizi<\/strong><br \/>L'entit\u00e0 e l'esecuzione dei nostri servizi si basano sull'offerta, sulla conferma d'ordine o sul contratto di lavoro. Sono escluse le prestazioni che esulano da questi documenti, cos\u00ec come i preparativi in loco, le attrezzature, i lavori e le misure necessarie per l'esecuzione dell'ordine da parte di Schmid Geb\u00e4udetechnik GmbH. I servizi aggiuntivi ordinati verbalmente dal cliente e non inclusi nell'offerta saranno fatturati al prezzo di costo. Lo stesso vale per propriet\u00e0 impreviste, circostanze tecniche o di altro tipo che non erano riconoscibili al momento della preparazione dell'offerta da parte di Schmid Geb\u00e4udetechnik GmbH o che sono state nascoste dal cliente e che richiedono prestazioni aggiuntive. Schmid Geb\u00e4udetechnik GmbH non si assume alcuna responsabilit\u00e0 per ritardi causati, ad esempio, da terzi o fornitori.<\/p><p><strong>4. Prezzi<\/strong><br \/>I prezzi di Schmid Geb\u00e4udetechnik GmbH sono prezzi netti in franchi svizzeri (CHF) e non comprendono l'imposta sul valore aggiunto (IVA) applicabile. Le prestazioni aggiuntive derivanti da informazioni inadeguate o errate nei documenti forniti dal cliente saranno addebitate a Schmid Geb\u00e4udetechnik GmbH dal cliente al costo. Le nostre prestazioni vengono fatturate in unit\u00e0 di 15 minuti. Ogni quarto d'ora o parte di esso viene fatturato come unit\u00e0 intera. Ci\u00f2 consente una fatturazione trasparente ed equa dell'effettiva quantit\u00e0 di lavoro. In caso di ritardo nel pagamento dopo la scadenza del termine stabilito, ci riserviamo il diritto di addebitare una tassa di sollecito di 20 franchi per ogni sollecito.<\/p><p><strong>5. Tempi di consegna\/consegne<\/strong><br \/>I tempi di consegna indicati per i prodotti e i materiali sono indicazioni non vincolanti. Fanno fede le specifiche del produttore, che possono cambiare a breve termine. I prodotti e i materiali vengono spediti a rischio e pericolo del cliente.<\/p><p><strong>6. Conclusione del contratto<\/strong><br \/>I contratti possono essere conclusi verbalmente o per iscritto. I contratti stipulati verbalmente saranno sempre confermati per iscritto (ad esempio, tramite lettera o e-mail).<\/p><p><strong>7. Date<\/strong><br \/>Schmid Geb\u00e4udetechnik GmbH \u00e8 tenuta a rispettare le scadenze concordate in base al contratto o all'offerta firmata. Le scadenze concordate sono soggette a cause di forza maggiore, provvedimenti ufficiali, condizioni strutturali imprevedibili, eventi ambientali e ritardi dovuti a dipendenze da terzi o fornitori. Non appena Schmid Geb\u00e4udetechnik GmbH viene a conoscenza di ritardi, il cliente ne viene immediatamente informato per iscritto.<\/p><p><strong>8. Intervalli di manutenzione<\/strong><br \/>Se non diversamente concordato, \u00e8 necessario eseguire la manutenzione annuale. Il mancato rispetto degli intervalli di manutenzione invalida qualsiasi diritto alla garanzia.<\/p><p><strong>9. Condizioni di pagamento<\/strong><br \/>Il termine di pagamento per installazioni, consegne o lavori di manutenzione annuali \u00e8 di 30 giorni netti dalla fatturazione. In caso di ordini pi\u00f9 consistenti o a lungo termine, verranno fatturate le relative rate. Il cliente non ha il diritto di trattenere o ridurre i pagamenti a causa di reclami, pretese o contropretese non riconosciute da Schmid Geb\u00e4udetechnik GmbH. L'impianto si considera completato non appena \u00e8 stato completamente montato e messo in funzione. Ci\u00f2 vale anche nel caso in cui piccoli lavori di finalizzazione o di completamento possano essere eseguiti solo in un secondo momento. Se la messa in funzione e la consegna non possono avvenire per motivi non imputabili a Schmid Geb\u00e4udetechnik GmbH, l'importo finale pu\u00f2 essere fatturato entro 30 giorni dal completamento.<\/p><p><strong>10. Accettazione<\/strong><br \/>Il cliente deve controllare le forniture e i servizi entro un periodo di tempo ragionevole e segnalare immediatamente per iscritto eventuali difetti. Se il cliente non lo fa, le forniture e i servizi si considerano accettati e approvati. I difetti non riconoscibili da un'attenta ispezione devono essere segnalati per iscritto subito dopo la loro scoperta.<\/p><p><strong>11. Garanzia<\/strong><br \/>Schmid Geb\u00e4udetechnik GmbH concede una garanzia di due anni a partire dall'accettazione della prestazione completa dovuta per contratto, a meno che non sia stato espressamente concordato diversamente per iscritto. Il termine decorre dal giorno successivo alla messa in funzione con il cliente. Se non \u00e8 disponibile un verbale di collaudo, la messa in funzione da parte di Schmid Geb\u00e4udetechnik GmbH o l'invio della fattura finale valgono anche come collaudo. Per le forniture di materiali o apparecchiature, la garanzia si applica in base alle disposizioni del produttore.<\/p><p>In presenza di un difetto, Schmid Geb\u00e4udetechnik GmbH si impegna a porvi rimedio entro un termine ragionevole e a proprie spese (rettifica). Se l'opera si rivela difettosa o inutilizzabile durante il periodo di garanzia e se ci\u00f2 \u00e8 dimostrabilmente dovuto a difetti di lavorazione o a materiale difettoso fornito da Schmid Geb\u00e4udetechnik GmbH, le parti difettose saranno riparate o sostituite da Schmid Geb\u00e4udetechnik GmbH entro un termine ragionevole a sua discrezione. Il presupposto \u00e8 che i difetti vengano denunciati durante il periodo di garanzia e subito dopo la loro scoperta.<\/p><p><strong>12. Responsabilit\u00e0<\/strong><br \/>Schmid Geb\u00e4udetechnik GmbH risponde solo per danni a cose e persone causati da dolo o colpa grave. La responsabilit\u00e0 \u00e8 altrimenti esclusa. Non si assume alcuna responsabilit\u00e0 per i danni conseguenti all'uso dei prodotti. Ci\u00f2 vale in particolare per i danni materiali, le perdite finanziarie e i danni causati da ritardi, indipendentemente dai motivi legali, nonch\u00e9 per i danni indiretti o consequenziali, il mancato guadagno, il mancato guadagno e i risparmi non realizzati.<\/p><p>Inoltre, \u00e8 espressamente esclusa la responsabilit\u00e0 di Schmid Geb\u00e4udetechnik GmbH per eventuali colpe di persone ausiliarie. Infine, Schmid Geb\u00e4udetechnik GmbH non \u00e8 responsabile per alcun tipo di danno conseguente (in particolare per catastrofi naturali come incendi e danni ambientali che non riguardano direttamente l'oggetto del contratto).<\/p><p><strong>13. Obblighi di collaborazione del cliente<\/strong><br \/>Il cliente \u00e8 tenuto a informare Schmid Geb\u00e4udetechnik GmbH sulla documentazione di sistema esistente e a metterla a disposizione. Inoltre, il cliente dovr\u00e0 autorizzare i dipendenti di Schmid Geb\u00e4udetechnik GmbH ad accedere senza restrizioni ai sistemi.<\/p><p><strong>14. Riserva di propriet\u00e0<\/strong><br \/>La propriet\u00e0 dei prodotti e dei materiali passa al cliente solo dopo il completo pagamento del prezzo concordato nel contratto. \u00c8 vietato il trasferimento o la cessione a terzi senza autorizzazione. Schmid Geb\u00e4udetechnik GmbH \u00e8 autorizzata a far iscrivere la riserva di propriet\u00e0 nel registro della riserva di propriet\u00e0 presso la sede del cliente.<\/p><p><strong>15. Protezione dei dati e riservatezza<\/strong><br \/>Schmid Geb\u00e4udetechnik GmbH si impegna a rispettare le disposizioni in materia di protezione dei dati e a trattare con cura i dati dei clienti. Se non diversamente concordato contrattualmente, l'azienda \u00e8 autorizzata a utilizzare il cliente come riferimento per i potenziali clienti.<\/p><p><strong>16. Foro competente e legge applicabile<\/strong><br \/>Il rapporto giuridico \u00e8 soggetto al diritto svizzero.
